In placing the directive in its context and in order to have regard to its objectives, an examination of inter alia the proposals and drafts of the Directive should therefore be undertaken. An in-depth analysis of individual provisions in the proposals and drafts will not be carried out here but rather in the relevant parts of chapters 5–9 inclusive, where they can be analysed in conjunction with the relevant provisions of the directive as adopted. 13 THE LEGISLATIVE CHRONOLOGY OF THE DIRECTIVE The first formal proposal made by the Commission for a directive co-ordinating the laws of the member states relating to self-employed commercial agents was submitted to the Council of Ministers on 17 December 1976.

It could have been expected, given the relatively prompt production of the notes, that a draft of the Regulations would have been available in 1988, allowing a substantial period for consultation and redrafting, but a first draft was not available for public comment until May 1990. No doubt submissions were received following the publication of the notes, but details of those responses have not been published. 3 In this at least, the Law Commission has been proved to be correct, as an increasing number of frustrated practitioners can testify.

10 WHAT WAS THE DTI ’ S VIEW OF LIKELY COSTS ? On the question of costs, the Compliance Cost Assessment estimated that the average cost to principals per agent in terms of legal fees and staff costs in implementing the Regulations would be between £500 and £9,000 and the ‘recurrent costs per year’ of compliance would include legal fees and staff costs of between £450 and £1,100 per annum and compensation of between £5,000 and £40,000 per annum. Although the question of indemnity and compensation is dealt with in detail below, the Compliance Cost Assessment stated that the figures for compensation related to premature termination of fixed-term and open-ended contracts.
